These Terms of Service govern access to and use of Wagner AI & Automation websites, AI systems, automations, implementation services, and related products. By accessing, purchasing, or using any part of our services, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Description of Services

Wagner AI & Automation provides AI automation systems including AI voice agents, chat interfaces, outreach systems, workflow automation, CRM integrations, scheduling tools, data handling flows, internal tools, and related consulting or implementation services. Services may be modified, improved, suspended, or discontinued at any time without liability, except where mandatory law requires otherwise.

2. Use of AI Systems

By using the services, you acknowledge that automated communications may include phone calls, SMS messages, emails, chat responses, routing decisions, or AI-generated outputs. Interactions may be logged, recorded, or stored for quality assurance, training, system improvement, compliance, or operational purposes. You are responsible for ensuring that your use of these systems complies with all laws applicable to your business, sector, audience, and jurisdiction.

3. Client Responsibilities

You agree to provide accurate and complete information, maintain appropriate access control, obtain any legally required consent from your customers or end users, and use the services only for lawful purposes. You may not misuse the services, attempt to reverse engineer them, deploy them in fraudulent or deceptive ways, or take actions likely to damage system performance, security, or our reputation.

4. Third-Party Services

Our systems may integrate with third-party tools such as CRM systems, email providers, telephony vendors, cloud hosting services, scheduling platforms, analytics tools, and other software providers. We are not responsible for the performance, security, privacy practices, or availability of those third-party services.

5. Payment Terms

Fees are payable according to the pricing and billing terms presented in the proposal, order form, contract, or invoice. Unless otherwise specified in writing, payments are non-refundable. We reserve the right to suspend or terminate access in case of non-payment, late payment, or material breach.

6. No Guarantee of Outcomes

While our services are designed to improve efficiency, responsiveness, and operational leverage, we do not guarantee specific outcomes such as conversion rates, lead quality, revenue increases, support metrics, or particular performance improvements. Results vary depending on data quality, existing processes, market conditions, implementation choices, user behavior, and factors outside our control.

7. Availability and Maintenance

We do not guarantee uninterrupted or error-free service. Scheduled or emergency maintenance may occur at any time. We are not liable for downtime, delays, interruptions, degraded third-party performance, or loss caused by provider outages, internet disruption, or infrastructure issues.

8. Data Privacy

Your use of the services is also governed by our Privacy Policy. You remain responsible for ensuring that your data practices comply with laws such as GDPR, CCPA, telemarketing rules, consent rules, and sector-specific requirements where relevant.

9. Intellectual Property

All website content, software, AI logic, automations, workflows, scripts, prompts, branding, and related technologies are the property of Wagner Consulting LLC and/or its licensors. Unless explicitly agreed otherwise, you are granted a limited, non-exclusive, non-transferable license to use the services for your internal business purposes only.

10. Limitation of Liability

To the fullest extent permitted by law, Wagner Consulting LLC and its affiliates shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of revenue, profits, customers, data, business opportunities, or reputational harm. Our total cumulative liability shall not exceed the amount paid by you for the services in the three months preceding the claim. If no payment was made, liability is limited to one hundred USD ($100).

11. Indemnification

You agree to indemnify and hold harmless Wagner Consulting LLC from claims, fines, penalties, losses, and expenses arising from your misuse of the services, your violation of these Terms, your violation of law, your communications with your own customers through our systems, or any data or content you provide.

12. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Disputes shall be resolved exclusively through binding arbitration in New York County, New York, unless applicable law requires otherwise. Class actions and class arbitration are waived to the extent permitted by law.
