These Terms of Service govern all quotations, orders, projects, and related services provided by Wagner Language Solutions, a division operating under Wagner International. By requesting a quote, placing an order, transmitting files, or otherwise instructing us to perform services, the client agrees to these terms unless otherwise agreed in writing.

1. Scope of Services

Services may include translation, localization, transcreation, MTPE, interpreting, multilingual desktop publishing, transcription, subtitling, voice-over coordination, linguistic consulting, and related project management services. The precise scope of any engagement is defined by the accepted quotation, written confirmation, or mutually confirmed project instructions.

2. Formation of Contract

A binding engagement is formed when the client accepts a written quotation, issues a purchase order, confirms a project by email, or otherwise instructs Wagner Language Solutions to proceed. Quotes are non-binding unless expressly stated otherwise and may be subject to expiry, workload, source-file review, or scope clarification.

3. Client Responsibilities

The client is responsible for providing complete, legible, editable, and accurate source materials, together with all context reasonably required for performance. This includes target audience, intended use, terminology preferences, style guides, reference files, regulatory constraints, formatting expectations, and any delivery-critical instructions. Where abbreviations, proprietary expressions, visuals, or technical references require explanation, the client must provide it.

The client warrants that it has all necessary rights, licenses, approvals, and authority to submit the content for processing and that the content does not infringe third-party rights or violate applicable law. We are not responsible for errors, delays, or downstream consequences arising from incomplete, inaccurate, misleading, or late client input.

4. Workflow, Revision, and QA

Our operational model is presented as aligned with the principles of ISO 17100 for translation-service delivery and ISO 9001 for quality management. Unless explicitly agreed otherwise, our process may include project briefing, resource assignment, terminology alignment, translation or adaptation, revision where applicable, and quality assurance checks before delivery. QA may include consistency checks, numerical and formatting review, completeness review, layout review, and delivery-readiness checks. No standard or certification statement on this website should be interpreted as a legal certification claim unless explicitly confirmed in writing for the relevant entity or service scope.

5. Delivery Times

Delivery times are estimated based on the information and materials available at the time of quotation or confirmation. Time commitments assume timely client cooperation, uninterrupted access to complete source materials, and absence of material scope changes. Any revision to the source files, briefing, delivery format, or project scope may affect schedule and pricing. Partial deliveries may be made where commercially reasonable.

6. Revisions and Acceptance

The client must review deliverables promptly after receipt. Any objection or request for correction must be submitted in writing within a reasonable period and must specify the issue clearly. Reasonable corrections that fall within the originally agreed brief may be addressed without additional charge. New preferences, stylistic re-briefing, scope enlargement, or changes that go beyond the confirmed brief may be billed separately. In the absence of substantiated written objections within a reasonable review period, the work may be deemed accepted.

7. Fees, Payment, and Cancellation

Fees are based on the accepted quotation, rate agreement, or another written commercial arrangement. Unless otherwise stated, invoices are payable in full in accordance with the invoice terms. We reserve the right to require advance payment, staged billing, or full prepayment in appropriate cases, including large, urgent, specialized, or first-time assignments.

If a project is postponed, canceled, or materially changed after confirmation, we reserve the right to charge for work already performed, committed resources, administrative handling, and reasonable cancellation fees. Any third-party costs already incurred on behalf of the client remain chargeable.

8. Confidentiality

Client information and project materials are handled as confidential and disclosed only to personnel, linguists, or service providers who need access for project delivery, quality control, security, or compliance purposes. Equivalent confidentiality obligations are expected from all contributing resources. If the client requires a separate NDA, it should be requested before transmission of sensitive material unless already in place.

9. Subcontracting and Resource Allocation

We may use qualified internal staff, freelancers, subcontractors, specialist reviewers, interpreters, voice talent, or technical providers where appropriate. Responsibility for resource assignment and workflow organization remains with Wagner Language Solutions unless otherwise agreed.

10. Intellectual Property

Subject to full payment of all undisputed amounts due, rights in the final deliverable transfer only to the extent necessary for the intended use agreed between the parties. Pre-existing materials, tools, translation memories, glossaries, workflows, methods, templates, scripts, QA rules, and internal linguistic assets remain our property unless expressly agreed otherwise.

11. Limitation of Liability

To the maximum extent permitted by law, our liability arising out of or in connection with any project, website use, or service engagement is limited to the net amount paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, incidental, or special damages, including loss of profit, revenue, opportunity, goodwill, tenders, reputation, or data, nor for losses resulting from third-party use, publication, implementation, interpretation, or reliance on delivered materials without appropriate review.

We are not responsible for delays, non-performance, or defects caused by source-material deficiencies, incomplete instructions, unavailable reference information, client-side software or formatting constraints, force majeure, cyber incidents outside our reasonable control, or third-party platform failures.

12. Regulated and High-Risk Content

Unless expressly agreed in writing, our services do not constitute legal advice, medical advice, regulatory approval, engineering certification, or sworn verification. Where a document is intended for court filing, public registration, labeling compliance, patient use, safety-critical instruction, regulated submission, or other high-risk use, the client remains responsible for confirming whether additional certification, validation, local review, or subject-matter sign-off is required.

13. Data Protection

Personal and project-related data are processed in accordance with our Privacy Policy and only to the extent necessary for quote handling, project delivery, communication, administration, security, and legal compliance.

14. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including power outages, internet disruptions, cyber incidents, illness, transportation failure, natural events, labor actions, governmental restrictions, or third-party platform outages.

15. Governing Law and Disputes

Unless mandatory law requires otherwise, the governing law and place of jurisdiction shall be determined by the contracting entity named on the quotation or invoice. If any provision is held invalid or unenforceable, the remaining provisions remain in effect.
