Last updated: April 2026
These Terms of Service ("Terms") govern your use of the services provided by Wagner Consulting LLC d/b/a Wagner International ("Wagner", "we", "us", "our"). By placing an order or using our services, you agree to be bound by these Terms.
Part A — Language Solutions
A1. Scope of Services
Language Solutions include translation, certified translation, localization, transcreation, machine translation post-editing (MTPE), proofreading, editing, interpreting, subtitling, voice-over, DTP, and related linguistic services. All services are performed by qualified professionals or, where specified, using AI-assisted workflows with human review.
A2. Orders & Quotes
Orders may be placed through our website, email, or client portal. Quotes are valid for 30 days unless otherwise stated. Prices are based on word count, language pair, service type, quality tier, and delivery timeline. Rush and express surcharges apply as indicated at the time of order.
Word counts are determined by the source document. For certified translations, minimum fees may apply.
A3. Delivery & Revisions
Delivery timelines are agreed upon at the time of order confirmation. We make commercially reasonable efforts to meet deadlines. Delays caused by client-side factors (late materials, scope changes) may extend timelines.
Revisions within the original scope are included at no extra charge if requested within 7 days of delivery. Revisions that change the original brief, style preferences, or terminology may incur additional charges.
A4. Quality Standards
All translation work follows ISO 17100-aligned processes. Certified translations include a certificate of accuracy. We maintain a rigorous quality assurance process including translation, editing, and proofreading (TEP) for Professional and Premium tiers.
A5. Confidentiality
All source materials and translations are treated as confidential. We require our linguists and partners to sign non-disclosure agreements. Client-specific NDAs are available upon request at no additional charge.
A6. Intellectual Property
Upon full payment, all rights to translated materials transfer to the client. Source materials remain the property of the client at all times. Wagner retains no rights to client content after project completion.
Part B — AI & Automation Solutions
B1. Scope of Services
AI & Automation Solutions include AI consulting, strategy development, custom AI/LLM implementation, workflow automation, chatbot and agent development, and related technology services.
B2. Project Agreements
AI projects are scoped individually and governed by a separate Statement of Work (SOW) that defines deliverables, timelines, milestones, and pricing. These Terms apply in addition to any project-specific SOW.
B3. Intellectual Property
Unless otherwise specified in the SOW, all custom-developed code, models, and deliverables created for the client become the client's property upon full payment. Wagner retains the right to use general methodologies, frameworks, and non-client-specific knowledge gained during the engagement.
B4. Data & AI Ethics
We implement responsible AI practices. Client data used in AI projects is processed according to our Privacy Policy and any applicable data processing agreement. We do not use client data to train models for other clients without explicit consent.
B5. Warranties & Limitations
AI solutions are provided on a best-efforts basis. While we strive for accuracy and reliability, we do not guarantee that AI outputs will be error-free. Clients are advised to implement appropriate review processes for AI-generated content.
Part C — Marketing & Media Solutions
C1. Scope of Services
Marketing & Media Solutions include branding, content creation, social media management, SEO, paid media campaigns, video production, graphic design, and related creative services.
C2. Project Agreements
Marketing projects may be engaged on a project basis or through retainer agreements. Scope, deliverables, and timelines are defined in the project proposal or retainer agreement. These Terms apply in addition to project-specific agreements.
C3. Approvals & Revisions
Creative deliverables are subject to client approval. Each project includes up to two rounds of revisions within the original scope. Additional revisions or scope changes will be quoted separately.
Clients are responsible for reviewing and approving all content before publication. Wagner is not liable for errors in approved content.
C4. Third-Party Services
Marketing campaigns may involve third-party platforms (Google Ads, Meta, LinkedIn, etc.). Ad spend is billed separately and is the client's responsibility. Platform-specific terms and policies apply in addition to these Terms.
C5. Intellectual Property
Upon full payment, all custom creative assets and content transfer to the client. Stock imagery, fonts, and licensed materials are subject to their respective license terms. Wagner retains the right to showcase work in its portfolio unless the client opts out in writing.

D1. Payment Terms
Payment is due as specified on the invoice or at the time of order. We accept PayPal, credit/debit cards, bank transfer (Wise), Apple Pay, Google Pay, and invoice (NET 30, subject to approval for established clients).
Late payments may incur interest at 1.5% per month. We reserve the right to suspend services for overdue accounts.
D2. Cancellation & Refunds
Orders may be cancelled before work begins for a full refund. Once work has commenced, cancellation fees apply based on the percentage of work completed. Completed deliverables are non-refundable.
For subscription or retainer services, cancellation requires 30 days written notice.
D3. Limitation of Liability
Wagner's total liability for any claim arising from our services shall not exceed the amount paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
