2.2 Project Scope β Each AI project will be governed by a project-specific Statement of Work (SOW) that defines scope, deliverables, timelines, milestones, acceptance criteria, and pricing. In the event of conflict between these Terms and a SOW, the SOW shall prevail for that specific project.
2.3 Client Cooperation β The Client acknowledges that AI solutions require active collaboration. The Client agrees to provide timely access to necessary data, systems, subject-matter experts, and feedback as reasonably required. Delays caused by the Client's failure to cooperate may result in adjusted timelines and additional costs.
3. AI Model Usage & Limitations
3.1 No Guarantee of Accuracy β While Wagner strives for the highest quality in AI solutions, the Client acknowledges that AI models are probabilistic in nature and do not guarantee 100% accuracy. Performance metrics (e.g., accuracy, precision, recall) will be defined in the SOW and benchmarked during testing.
3.2 Intended Use β AI solutions are designed and optimized for the specific use cases defined in the SOW. The Client is responsible for ensuring that AI outputs are used only for their intended purpose and in compliance with applicable laws and regulations.
3.3 Human Oversight β Wagner strongly recommends that AI-generated outputs, particularly in high-stakes domains (legal, medical, financial), be reviewed by qualified human experts before being acted upon. Wagner shall not be liable for damages arising from reliance on AI outputs without appropriate human oversight.
3.4 Model Drift β AI models may experience performance degradation over time (model drift) as data distributions change. Wagner offers ongoing monitoring and retraining services to address model drift, available under separate maintenance agreements.
3.5 Bias Mitigation β Wagner employs industry-standard practices to identify and mitigate bias in AI models. However, the Client acknowledges that complete elimination of bias is not achievable with current technology. Wagner will transparently communicate known limitations and bias risks associated with delivered models.
4. Data Privacy & Processing
4.1 Data Processing β AI solutions often require processing of Client data, which may include personal data. Wagner processes all data in accordance with applicable data protection laws, including the GDPR, CCPA, and other relevant regulations. A separate Data Processing Agreement (DPA) will be executed where required.
4.2 Training Data β If Client data is used for model training or fine-tuning:
β’ Wagner will only use data explicitly authorized by the Client for training purposes
β’ Training data will be handled in accordance with the confidentiality provisions of these Terms
β’ Upon request, Wagner will provide details of what data was used and how
β’ Client data used for training will not be used for any other client's projects
4.3 Third-Party AI Services β Wagner may utilize third-party AI platforms and APIs (e.g., cloud AI services) in delivering solutions. Wagner will ensure that any third-party services comply with the data protection requirements agreed upon with the Client and will disclose the use of such services.
4.4 Data Retention β Project data will be retained for the duration of the project plus ninety (90) days for quality assurance. Extended retention is available upon request. The Client may request early deletion of all project data at any time, subject to legal retention requirements.
4.5 Data Localization β Upon request, Wagner can ensure that data processing occurs within specific geographic regions (e.g., EU-only, US-only). Geographic restrictions may affect available AI services and pricing.
5. Intellectual Property & Ownership
5.1 Client Data β The Client retains all intellectual property rights in data, materials, and content provided to Wagner for AI solutions development.
5.2 Custom Models β Ownership of custom AI models developed for the Client is defined in the project SOW. Unless otherwise specified:
β’ Models trained exclusively on Client data are owned by the Client upon full payment
β’ Models built on Wagner's proprietary frameworks with Client data customization are jointly owned, with the Client receiving a perpetual, non-exclusive license
β’ Wagner retains ownership of its underlying frameworks, tools, and methodologies
5.3 Pre-Existing IP β Each party retains ownership of its pre-existing intellectual property. Nothing in these Terms transfers ownership of either party's pre-existing IP to the other.
5.4 Open Source β If open-source components are incorporated into deliverables, Wagner will disclose all open-source licenses and ensure compliance with their terms. The Client acknowledges that open-source components are subject to their respective license terms.
5.5 Feedback & Improvements β General knowledge, techniques, and methodologies gained by Wagner during project execution may be used to improve Wagner's services, provided that no Client confidential information is disclosed or used.
6. Service Levels & Support
6.1 Availability β For deployed AI solutions with active support agreements, Wagner targets 99.5% uptime during business hours and 99.0% overall monthly uptime. Specific SLAs will be defined in the project SOW or a separate Service Level Agreement.
